About
Principal-led investing in industrial process transformation and materials IP
Kohi Capital acquires, industrialises, and licenses proprietary materials-processing technologies that improve material performance and move industrial textile processing toward dry manufacturing across textiles, footwear, workwear, and automotive supply chains in Europe and Asia.
What we do
Acquisition-led.
We acquire majority positions in distressed or undervalued industrial IP platforms at entry prices that growth equity cannot access.
Process-focused.
Our first platform, Phase-on Dry™, applies functional finishes such as water repellency, flame retardancy, and antimicrobial treatment using plasma and laser, rather than a wet bath and a stenter. It delivers PFAS-free performance while removing water, effluent, and much of the finishing chemistry that conventional wet finishing carries. Functional finishing is the core business. Plasma-based dry dyeing is a longer-term R&D program on the same platform.
Grant-augmented.
Non-dilutive EU and national grant capital is built into the fund structure. It extends runway and improves LP returns without affecting the cap table.
Industrially anchored.
Industrial partners participate as validation sites, licensees, and co-investors, so commercial and financial incentives align within the structure.
Our Approach
STRUCTURE CREATES THE RETURN
Our platforms remove the wet steps from industrial finishing: the aqueous bath, the stenter drying pass, and the effluent stream they create. The process integrates with existing mill operations. The commercial model is to specify, qualify, and license. Brands specify the standard, mills qualify it on their own fabrics, and qualified production pays a royalty. PFAS restrictions and performance gains give mills a reason to change. Measured process economics determine whether the change pays, and the case rests on those economics rather than policy tailwinds.
BUILT INTO THE STRUCTURE
(1) Distressed entry. We acquire at a fraction of going-concern value. The entry price protects the downside; the technology drives the upside.
(2) Non-dilutive capital. Grant funding covers capital expenditure. LP capital is kept for IP acquisition and commercial build-out.
(3) Strategic validation. Industrial partners host validation programmes and adopt the process under licence, so commercial and financial incentives are aligned within the structure.
Process Intelligence and Fund Structure
Plasma Matters
Plasma Matters is a specialist process software business. It provides the intelligence layer that makes the Phase-on Dry™ platform commercially deployable at industrial scale. MTIF is sponsoring the completion of its final verification programme, targeted for Q2 2027.
Full process control
The software controls plasma intensity, dwell time, fabric speed, and treatment uniformity. Depending on the customer’s deployment, it runs embedded in the machine or as a standalone process management layer. Its output is a parameter library, a proprietary set of process specifications for each material type and application, under verification for workwear, technical textiles, footwear, and automotive. It is built to make results repeatable and right the first time across every licensed line.
The MTIF
MTIF FGR, the Materials Transition Infrastructure Fund, is a Dutch Fonds voor Gemene Rekening targeting industrial IP platforms in textiles, footwear, workwear, and advanced materials manufacturing. The fund acquires controlling positions in IP-rich platforms. It builds recurring revenue through technology licensing, production-based royalties, and process software across European and Asian markets.
One platform. Independent mandates.
The Kohi Capital FGR platform is designed to accommodate a widening portfolio of industrial process companies — each held within its own sub-fund, with independent capital structures and investor entry, under a single regulated Dutch framework.
